Terms of Service

These Terms of Service ("Terms") are an agreement between you and Chispot Inc. ("Chispot", "we", "us"), a corporation based in Ottawa, Ontario, Canada. They govern your use of the Chispot mobile app and related services (the "Service").

By creating an account you confirm that you have read and agree to these Terms and to our Privacy Policy. If you do not agree, do not create an account or use the Service.

1. Who may use Chispot

You must be at least 16 years old to hold a Chispot account. There are no exceptions and we do not offer accounts supervised by a parent or guardian. When you register we ask for your date of birth; by submitting it you represent that it is accurate.

If we learn that an account belongs to someone under 16, we will terminate it and delete the associated data. If you believe a child under 16 has created an account, email admin@chispots.com.

You must also be able to form a binding contract and not be barred from using the Service under the laws of your jurisdiction, and you must not have been previously removed from the Service.

2. Your account

• One account per person. You are responsible for everything that happens under your account.
• Keep your password confidential. Tell us promptly at admin@chispots.com if you believe someone else has accessed your account.
• The information you give us at registration must be accurate, and you must keep it accurate.
• You may delete your account at any time from Settings. Deletion is permanent and is described in the Privacy Policy.

3. Content you post

Chispot lets you post photos, videos, text, comments and messages ("Your Content"), including content tied to physical places. You keep ownership of Your Content.

By posting, you grant Chispot a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (for example, to transcode a video or generate a thumbnail) and display Your Content, solely for the purpose of operating and providing the Service. This licence ends when you delete the content or your account, except for copies we are required to retain by law or that have already been shared onward by other users.

You are responsible for Your Content. You confirm that you have the rights to post it and that it does not violate these Terms or anyone else's rights.

4. No tolerance for objectionable content or abusive behaviour

Chispot has no tolerance for objectionable content or abusive users. You agree not to post content or behave in ways that:

• are unlawful, or that promote, encourage or facilitate illegal activity;
• sexually exploit or endanger anyone, and in particular any content that sexualises a minor in any way;
• are pornographic or sexually explicit, or gratuitously violent or graphic;
• harass, bully, threaten, stalk, impersonate or intimidate another person;
• promote hatred, discrimination or violence against people on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age or any comparable characteristic;
• encourage self-harm, suicide, or disordered eating;
• infringe copyright, trademark, privacy, publicity or other rights;
• are spam, a scam, a pyramid or referral scheme, or a bulk or automated posting;
• reveal another person's private information without their permission;
• contain malware, or attempt to gain unauthorised access to the Service, other accounts, or our systems.

5. Reporting, moderation and enforcement

Every post, comment, story, message, profile and place in Chispot can be reported from inside the app, and you can block any user from their profile. Blocking hides that person's content from you and yours from them.

We review reports of objectionable content and abusive behaviour and aim to act on them within 24 hours. Depending on what we find, we may remove content, restrict or suspend an account, remove someone from a place, or terminate an account permanently. We may act with or without notice, and we may report unlawful content to the authorities.

Reports can also be sent to admin@chispots.com.

We are not obliged to monitor the Service, and we are not responsible for content posted by users. But when content is reported to us, we will look at it.

6. Location

Chispot is built around physical places, and some features need your device's location to work. You control this through your device's permission settings and can withdraw it at any time; some features will stop working if you do. What we collect and how long we keep it is described in the Privacy Policy.

7. Things you must not do

• Reverse engineer, decompile, or attempt to extract the source code of the app, except where that restriction is prohibited by law.
• Scrape, crawl, or bulk-download content or data from the Service.
• Interfere with the Service's operation, security, or availability.
• Use the Service to build a competing product, or resell access to it.
• Create accounts by automated means, or sell, buy, or transfer an account.

8. Suspension and termination

You may stop using Chispot and delete your account at any time. We may suspend or terminate your account if you breach these Terms, if we are required to by law, or if continuing to provide the Service to you would create risk for us or for other users. Where it is reasonable to do so, we will tell you why.

9. Changes to the Service and to these Terms

We may change the Service, and we may change these Terms. When we make a material change to these Terms we will update the date at the top of this page and ask you to accept the new version in the app. If you do not accept it, you should stop using the Service and delete your account.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content posted by other users is accurate, lawful, or inoffensive.

11. Limitation of liability

To the fullest extent permitted by law, Chispot Inc. and its directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for lost profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or CAD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify and hold harmless Chispot Inc. from claims, damages, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer, this does not deprive you of the protection of the mandatory laws of your place of residence.

14. Apple App Store

If you downloaded Chispot from the Apple App Store: these Terms are between you and Chispot Inc. only, not Apple. Apple has no obligation to provide support for the app. Apple is not responsible for any claim relating to the app, including product liability, legal compliance, or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. General

If any part of these Terms is found unenforceable, the rest continues to apply. Our not enforcing a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service.
